OFFICIAL SWEEPSTAKES RULES

SWEEPSTAKES DESCRIPTION:

The Fox Searchlight Pictures “Treat Yourself Just Wright” Sweepstakes Promotion (“Sweepstakes”) will begin at 6 AM (EST) on Wednesday, April 28, 2010 and end on Friday, May 7, 2010 at 3 AM (EST) (“Sweepstakes Period”).  The Sweepstakes will be conducted in twelve (12) Radio One, Inc. markets, on a total of eighteen (18) local radio stations.  One winner per station will be awarded the “Treat yourself Just Wright Package” which includes dinner at fine restaurant and spa treatment for the winner and a friend, valued at One Thousand Dollars ($1,000).  Each participating radio station will be responsible for prize fulfillment to the winner in their market.

HOW TO ENTER:

Listeners of the eighteen (18) participating radio stations listed below (the “Participating Stations”) who are legal residents of the U.S., and are twenty-one (21) years of age and older will be able to take part in this Sweepstakes. To participate in the Sweepstakes, listeners must do the following:

Starting Wednesday, April 28, 2010, the listeners of the Participating Stations will be directed to visit the “Just Wright Ladies Night” event (also “Event”)  scheduled to take place on various announced dates during the Sweepstakes Period (at various local night clubs), where participants can register for a chance to win the “Treat Yourself Just Wright Package”.  From among all eligible entries received, one (1) local grand prize winner will be selected for each of the Participating Stations.

During the Event, participants must complete and submit an official entry form and enter their name, date of birth, address, phone number, email address, and any optional or additional contact information, as requested, to register for the “Treat yourself Just Right” Sweepstakes.

The winner will be selected at random from among all eligible entries received. The last chance to enter the Sweepstakes is on Thursday, May 6, 2010 at 1:00 AM Eastern Time. The winner will be selected at the Event on Friday, May 7, 2009 no later than 2:00 AM and will be announced on stage immediately following the drawing.  If the winner is not present at the time of the drawing, the winner will be notified by phone and/or email.

ELIGIBILITY RESTRICTIONS:

1. The Sweepstakes is open to listeners of the Participating Stations and attendees of the “Just Wright Ladies Night” Event who are twenty-one (21) years of age and older and are legal residents of the U.S.

1. Employees of the Participating Stations, Radio One, Inc. (“Radio One”), Fox Searchlight Pictures, their respective subsidiaries, affiliates, advertisers, general sponsors, promotional partners, other media used to promote the Sweepstakes, and members of the immediate families or households of any of the above are NOT eligible to participate or win in this Sweepstakes.

1. Persons who have won a prize in another sweepstakes or promotion of any kind from any of the Participating Stations within the thirty-day (30) period immediately preceding the start date of this Sweepstakes are not eligible to participate.

PRIZES:

1. Each of the Participating Stations will award one (1) “Treat Yourself Just Wright” local grand prize consisting of dinner for two (2) at a local fine restaurant, and a spa treatment for the winner and a friend (in the form of a gift certificate or gift card valued at One Thousand Dollars ($1,000)).  Transportation is not included. The local Participating station will select the restaurant and the spa.  Prize must be used within six (6) months of the date of winning.

1. In the event the prize cannot be awarded as planned, the Participating Stations reserve the right to substitute a replacement prize of equal or greater value.

1. Prizes that are not mailed (via us mail or UPS) or provided by the participating sponsor must be claimed at the local Participating Station’s offices within thirty (30) days of the date of winning.

1. No substitution of prize is offered, no transfer of prize to a third party is permitted and non-cash prizes may not be redeemed for cash value, except as determined by station management and/or the sponsor in its sole discretion.

1. All sweepstakes winners must sign and date official station release and waiver forms as requested.  Failure to do so will disqualify the entrant and/or result in winner forfeiting the prize.

1. All prizes won will be awarded in the form of a gift card or gift certificate.  Prizes will be available for pick-up no earlier than twenty (21) business days from the date the sweepstakes winner is awarded their prize.

1. If for any reason a Sweepstakes winner provides notice that he or she has decided not to accept an awarded prize, the winner will be required to sign a release form acknowledging that they are forfeiting the prize.  It will be at the discretion of the Sweepstakes sponsor and / or Sweepstakes administrator if another contestant is to be selected as the winner if time permits.

1. If Sweepstakes winner does not claim their prize within 30 days of receiving winning notification, the prize is forfeited.

1. Winners must provide valid identification (i.e. via driver’s license, passport or other photo I.D.) to claim their prize.

EXECUTION:

1. During the Sweepstakes Period, eligible listeners will be encouraged to participate in the Sweepstakes by visiting the “Just Wright Ladies Night’ Event at a local night club.

1. Participants will be directed to the “Just Wright” table near the entrance area of the club where the entry forms are readily available.  Participants are to follow the instructions, complete the official entry form, including entering their name, date of birth, address, phone number, email address, and any optional or additional contact information, as requested, and submit the completed form to register for the “Sweepstakes.

1. Each of the Participating Stations will select one (1) winner by random drawing from among all eligible entries received.

1. The winner will be selected by random drawing and announced by the local Participating Station’s on-air personality on stage during the Event on Friday, May 7, 2010 at 2:00 AM.  If the winner is not present at the time of the drawing, the winner will be notified by phone and/or e-mail.

1. The winner will be instructed to go to the offices of the local Participating Station in their listening area to claim their prize.

1. All decisions made by the Participating Stations and Radio One management regarding any aspect of this Sweepstakes and the prize are final.

GENERAL CONDITIONS:

1. Winners are responsible for all applicable taxes associated with the receipt of the prize.  Prizes are not transferable and may not be exchanged.

1. Any person winning over $600.00 in prizes will receive an IRS form 1099 at the end of the calendar year for tax purposes and a copy of such form will be filed with the IRS as required by law.

1. No purchase necessary.  Sweepstakes is void where prohibited.  Sweepstakes is subject to all applicable federal, state and local laws and regulations.

1. Odds of winning depend upon the number of eligible entrants participating during the Sweepstakes Period.

1. By participating in the Sweepstakes, the winner or winners agree to have their name, voice, or likeness used in any advertising or broadcasting material relating to this Sweepstakes, in any media now known or hereafter devised for advertising or promotional purposes without additional compensation, and must sign a publicity release prior to competing in the Challenge.  By entering this Sweepstakes, each participant agrees to comply with the Official Rules and the decisions of the sponsor which shall be final and binding in all aspects relating to the Sweepstakes.

1. All Sweepstakes winners will be required to sign a liability release prior to acceptance of any prize.  Pursuant to the liability release, the winner or winners will agree to hold the Participating Stations Radio One, Inc., Fox Searchlight Pictures, any other Sweepstakes parties and each of their respective affiliates, subsidiaries, agencies, officers, shareholders, directors, employees, agents and representatives of each of the foregoing, harmless against any and all claims or liability, directly or indirectly related to or arising from or in connection with Sweepstakes participation or the acceptance, possession or use / misuse of awarded prize or any portion thereof, or participation in prize-related activities, including but not limited to any such activities that may pose any risk of medical liability.

1. Winner must provide valid identification (i.e. via driver’s license, passport or other photo I.D.) to claim their prize.

1. The Participating Stations retain the right to disqualify any entrant if all Sweepstakes rules are not followed.  Sweepstakes void if prohibited by law.

1. So long as no participant is materially adversely affected, the Participating Stations reserve the right to make changes in the Sweepstakes rules, which will become effective upon being announced on the air.

1. The Participating Stations and Radio One, Inc., Fox Searchlight Pictures, participating sponsors and their respective parent companies, subsidiaries, affiliates or their representatives, agents and employees are not responsible for the inability of any contestant to complete or continue a telephone call, facsimile transmission or internet registration due to equipment malfunction, busy lines, inadvertent disconnections, unavailable network, server, Internet Service Provider (ISP) or other connections communication failures or human error that may occur in the transmission, receipt or processing of entries.  In addition, participating radio stations, Radio One, Inc, Fox Searchlight Pictures, participating sponsors and their respective parent companies, subsidiaries, affiliates or their representatives, agents and employees are not responsible for lost, misdirected, mutilated, illegible or incomplete Sweepstakes entries.  Once submitted, entries become the property of the Participating Stations and will not be returned.

1. By accepting the prize, the winner acknowledges that Participating Stations and Radio One have neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, express or implied, in fact or in law, relative to the prize or to any portion thereof, including but not limited to its quality, mechanical condition or fitness for a particular purpose.

1. The Participating Stations and Radio One, its subsidiaries, its affiliates, participating sponsors and promotional partners will not assume any responsibility for any changes in the execution of the Sweepstakes, including; cancellation of the Sweepstakes as a result of the occurrence of events not within the control of the Participating Stations, Radio One, its subsidiaries, affiliates, participating sponsors, promotional partners and other radio stations, such as acts of God, strikes, terrorists acts or criminal acts of third parties.  In the event, such an act should occur; reasonable attempts will be made to offer the winner comparable prize(s) currently being offered by the station in lieu of the prize originally awarded.

1. If for any reason, the Sweepstakes is not capable of running as planned, including without limitation, any suspected evidence of tampering or technological corruption or if any portion of the Sweepstakes is compromised by virus, bugs, worms or unauthorized human intervention, fraud, an insufficient number of qualified Sweepstakes entries, or any other causes beyond Radio One’s control which, in Radio One’s sole opinion, corrupts, threatens or impairs the administration, security, fairness, integrity, or proper conduct of the Sweepstakes, Radio One reserves the right to cancel, terminate, modify or suspend the Sweepstakes at its sole discretion.
